BRG Computer ServicesStandard Terms and Conditions
1. Data Security: It is the client's responsibility to ensure that prior to BRG Computer Services starting work on the client's computer system(s) all data has been backed up and appropriate data recovery tools and procedures are available. 2. Payment: The price stated in any estimate or quotation is inclusive of VAT and may be varied without prior notice. Unless otherwise agreed between BRG Computer Services and the client payment of the price shall be made on the date of performance. In the event of late payment BRG Computer Services reserves the right to charge interest. 3. Delivery: The dates for delivery of goods, materials or execution of activities mentioned in any estimate or quotation are approximate only. 4. Copyright: Copyright of all material originated by BRG Computer Services, either in the form of pre-contract documentation or as text, images, research papers or electronically stored code for the manipulation, transmission and presentation of information, remains vested in BRG Computer Services. By separate negotiation and upon payment in full, copyright may be assigned or licensed to the client. 5. Risk and Ownership of Goods: Risk in the goods or material passes upon delivery to the client's premises. Where material is transmitted electronically, risk will be deemed to have passed to the client upon confirmation of receipt. Title to the goods or material shall only pass to the client upon payment in full of all sums owing or due to BRG Computer Services, whether under contract or otherwise. 6. Indemnity: The client will indemnify BRG Computer Services, its staff, contractors and agents for any loss or damage suffered or incurred as a result of failure to obtain any necessary licence or consent to enter any premises, or premises being unsafe or unsuitable, or any failure of the client to comply with any conditions imposed by any other party. 7. Liability: BRG Computer Services shall under no circumstances be liable for any loss, damage, expense or injury of any kind, whether direct, consequential or otherwise, arising in connection with the execution of a contract or the use or failure of the goods supplied or any defect in them, or from any other cause whether or not due to the acts or omissions of BRG Computer Services, its staff, contractors, or its agents, in excess of the contract invoice value. 8. Warranty: BRG Computer Services warrants its services for thirty days from the date of invoice. An item of new equipment or software product supplied through BRG Computer Services shall be subject to the respective manufacturer's warranty terms and conditions. Refurbished equipment supplied shall be warranted for thirty days from the date of invoice unless otherwise stated. A software component created by BRG Computer Services shall be warranted to perform to specification for a period of one year from the date of invoice. A public domain or freeware software component supplied to the client is provided without warranty. 9. Claims: All claims in respect of material, goods or services must be made in writing to BRG Computer Services which will make all reasonable efforts to investigate and resolve such claims without undue delay. Resolution of a valid claim shall at the sole discretion of BRG Computer Services be via remedies including, but not limited to, replacement, repair, reworking or adjustment of the price. 10. Force Majeure: BRG Computer Services shall not be liable to the client for any loss or damage which may be suffered by the client as a result of the delivery of goods, materials or the execution of a contract being delayed prevented hindered or made uneconomic by reason or circumstances or events beyond BRG Computer Services’ control. 11. Waiver: Any waiver by BRG Computer Services of any breach of any term of these Terms and Conditions shall be valid only if given in writing. 12. Severance: BRG Computer Services and the client believe that these Terms and Conditions are reasonable. If any provision shall be held to be contrary to applicable law, such provision shall be severed from the remainder, and the remainder shall continue in full force and effect. 13. Law: All contracts to which these Terms and Conditions apply shall be governed and construed in accordance with the laws of England, Scotland and Wales, and the parties hereby submit to the jurisdiction of the courts of England, Scotland and Wales. 14. Entire Agreement: These Conditions and the Contract constitute the entire agreement and understanding of the parties and supersedes all prior written or oral agreements, representations, understandings or arrangements between them relating to the subject matter of these Conditions and the Contract.
